One vehicle, years of fundraising possibilities. How OptiComm.AI keeps its options open with SeedBlink.

The bar for fundraising infrastructure should be higher: no SPV to maintain, no jurisdiction trap, no single set of terms. OptiComm.AI chose not to settle for less.

SeedBlink Syndicates, SeedBlink Legal

“I didn’t feel like I was running a round. Four days after we opened, the first closing was done. What I didn’t expect is that almost a year later I still don’t think about it as a burden. Eighteen investors came in, and my shareholder register has one line on it and it’s completely handled.” - Cristi Movilă, CEO & Co-Founder, OptiComm.AI

Context: the round took days, the structure has to last years

OptiComm.AI gives every sales agent at a distributor an AI assistant that knows their customers, flags the ones who haven’t ordered and, on request, calls them. Founded at the end of 2024 by Cristi Movilă, Cristian Mîndricelu and Vlad Stoiculescu, it now works with 14 large clients across seven countries.

In November 2025 the company announced a €500,000 round. SeedBlink syndicated the portion coming from the TechAngels community: 18 individual investors, on a convertible loan. The deal was curated and the interest gathered within TechAngels, and the lead took the decision to run the syndication through SeedBlink.

It moved quickly. The first closing landed four days after the round opened, at €160,000. The second closed ten days in, at €90,000. Most case studies stop here. This one is about the year that followed.

The challenge: what 18 investors do to a cap table

  1. Closing is the visible part. What a founder inherits is an investor base that has to be administered for as long as the company exists.
  1. Every movement touches the company. Each change of holder means amending corporate documents and filing with a registry, with notarisation or apostilles depending on where the company sits.
  1. Signatures become the bottleneck. Capital increases, shareholder agreement amendments and corporate decisions need a signature from every holder. With investors in several countries, the round moves at the speed of the slowest power of attorney.
  1. Governance gets harder as headcount grows. Quorum, consents and approvals all scale with the number of holders, and a single unreachable minority shareholder can stall a decision or an exit.
  1. A separate SPV solves this and creates its own problem. Pooling investors in a vehicle set up per round keeps the register clean, but someone then owns a legal entity with filings, accounting, tax reporting and a lifespan. The admin moves rather than disappearing, and it usually lands on the founder or the lead investor.
  1. The next investor sees all of it. Institutional investors push back on a long tail of micro-shareholders, so a fragmented register becomes something to repair before a Series A rather than at it.

‍

The solution: one shareholder of record

All 18 syndicate investors hold their investment through SeedBlink’s Austrian Nominee. The company’s register and constitutive act show a single line, and movements between investors happen inside the vehicle without ever reaching OptiComm.AI.

"In most jurisdictions, every shareholder change touches the company: corporate documents amended, a registry filing, signatures collected one by one. Do that for 18 angels and a good round turns into a permanent administrative cost. Holding them through our Austrian Nominee keeps the register at one line, and movements between investors never reach the company at all. It is the difference between a cap table that is ready for a Series A and one that has to be repaired before it." - Andrei Hâncu, Chief Legal Officer, SeedBlink, and Founder of SeedBlink Legal

What the vehicle handles after the round

🏛️ Corporate housekeeping and governance

The vehicle counts as one vote-holder and one signatory, so general meetings work on a normal timeline. Rounds, capital increases and SHA amendments are signed once, with no chasing of powers of attorney. Changes among syndicate investors need no filing and no new signature round.

🎯 A cap table that is ready for the next round

One syndicate line keeps the company Series A-ready. The vehicle is bound by the SHA and acts as one block, so drag and tag are predictable and an exit is not held hostage by a single unreachable minority holder. Smaller investors who want out can trade inside the syndicate without the company processing anything.

🚀 More than one round at a time, on different terms

The vehicle is not tied to a single instrument or a single set of terms. For any round, current or future, a founder has the option to run more than one raise in parallel through the same vehicle, each on its own terms, with SeedBlink administering them side by side. A convertible for an angel community, equity for a strategic investor, a later tranche on different conditions: all of it sits behind the same single line, with no new structure to set up and no new entry on the register.

👥 An ESOP that grows with the company

The same vehicle can hold employee equity. Vested options are settled into it rather than onto the register, so an exercise does not become a corporate filing, and leaver buybacks are handled at the same level. Employees get real economic ownership instead of a cash-settled phantom scheme, without the company processing a transfer every time someone exercises.

Why OptiComm.AI chose SeedBlink

  • ‍Costs that could be split. The round’s costs were divided between the investors, the company and the other parties involved, which is what gave OptiComm.AI unlimited management of the vehicle rather than a structure with an expiry date attached to it. ‍
  • Speed without a process. Two closings, four and ten days after opening, with no separate legal track to run alongside the fundraising. ‍
  • One counterparty for the community. A professional vehicle on one side, multiple investors behind it, and governance that stays with a single counterparty bound by the SHA. ‍
  • The same platform afterwards. Reporting, investor communication, equity management and the next round run on the rails the round was closed on, rather than being rebuilt each time.
“The round is the easy part to feel good about. The real test is what you are left with afterwards. I have 18 investors and none of the administration that normally comes with them, and now that I am going back to the market, there is nothing to clean up first.” - Cristi Movilă, CEO & Co-Founder, OptiComm.AI

Outcome

Eleven months on, OptiComm.AI has 14 large clients across seven countries, a go-to-market partner in the United States and a register that looks the same as it did before the syndicate closed.

The company is now raising between €1.5M and €2M to accelerate its entry into the US market, with its existing investors already committed to participate. The structure holding those investors is the reason their commitment is a decision rather than a coordination exercise.
