THE QUESTIONS YOU ARE PROBABLY ASKING

Let's be direct.

Is SeedBlink free for investors?

Yes, creating an account is free. No subscription, no upfront cost. Fees only apply when you actually invest in a deal or run a syndicate through the platform.

What's the difference between leading and investing?

When you invest via SeedBlink, you're joining a round as one of many investors. This can happen in two ways: you're invited into a private deal led by a syndicate lead (where you're subject to the fees set by that lead investor), or you participate in a public round available on the SeedBlink platform, which runs as crowdfunding under our ECSPR authorization (subject to access fees, management fees, and carry). In both cases, the deal terms, timing, and lead are set by someone else, and you decide whether to participate.

When you lead a syndicate, you're on the other side of that equation. You source the deal, negotiate the terms, set the allocation and the fees (including your carry) and bring other investors in alongside you. SeedBlink handles the legal structure, KYC, transfers flow, and ongoing administration so you can focus on the deal itself rather than the operational lift.

How can I launch a deal?

Create an account on SeedBlink, create your investors community and set up your deal: ticket size, target amount, fees, carry, investment instrument, and deal documents. Once you submit the syndicate for review, our team checks the structure and approves it, usually within a few business days. From there, you get a dedicated deal room where you can invite co-investors, track commitments in real time, and manage the closing. All digital, all in one place.

How long does it take to open a deal?

Whether you're running a one-time deal with SeedBlink or setting up recurring deals through our partnership agreement, the process is built for speed. Once everything is in place, a new deal can be set up and live within 48 hours. Your dedicated account manager handles the structuring, documentation, investors onboarding and deal admin, so you can focus on the deal itself.

What's the investor experience I should expect?

Both leads and co-investors get a fully digital, institutional-grade experience, all in one place. Co-investors access a secure deal room with full visibility into terms and documents, complete KYC/AML onboarding online, sign contracts digitally, and track their wire from commitment to confirmation. After closing, performance reporting and updates land directly in their portfolio dashboard, so the relationship doesn't end at the transfer.

For leads, that same platform becomes the operating system for your investment community. Run your entire pipeline from one place: surface deals to your members, gather votes and commitments, execute the transaction, and manage every future deal under the same roof.

What investment instruments are available as part of the syndicate deal setup?

SeedBlink offers flexibility in choosing your investment instrument. You can structure deals using SAFE/ASA, Convertible notes (CLA), or direct equity - depending on what fits the deal best.

Are secondary transactions possible within the vehicle?

Yes. SeedBlink supports secondary transactions, from both existing and new investors, subject to specific conditions and approvals.

What fees can be set by the lead investor (carry, entry, management)?

As a lead investor, you set your own economics. You define the carry you take on exit (your share of the profits) and the entry fee co-investors pay to access the deal (a one-time percentage of their committed amount). We offer full flexibility on how these fees are structured: you can split them between founders and investors, between the lead and the community, charge them only on the target company, or any other configuration that fits the deal.

Everything is fully configurable when you set up the syndicate, so you can shape the economics around your relationship with your co-investors and the dynamics of the round.

When do I pay the success fee?

Only on realized profit: exit, acquisition, or bulletin board sale.

What happens after 5 years for syndicate deals?

Admin fee of 0.75% (min €2K) per additional 5-year period, subject to negotiations.

THE QUESTIONS YOU ARE PROBABLY ASKING

Let's be direct.

What is SeedBlink, and how does it help startups?

SeedBlink is the end-to-end venture deal execution platform for European private markets. We help founders run the full equity lifecycle in one place: preparing for a raise, fundraising (privately or through public rounds under our ECSPR authorization), managing the cap table and ESOP post-investment, communicating with shareholders, and unlocking liquidity through secondaries for the team and early backers.

Whether you're raising your first round, scaling an ESOP, or opening up a secondary window for investors and employees, SeedBlink gives you the infrastructure, the legal backbone, and the tools to manage equity as the strategic asset it is.

What's the difference between CORE and opening a private round?

CORE and opening a private round solve two different problems.

Core (€50/mo) is your preparation and management layer. It's where you get fundraising-ready and run your equity day-to-day: AI fundraising assistant, investor matching, cap table management, and a structured data room. Think of it as the toolkit you use before, during, and after a raise to keep your equity organized and your story sharp.

Opening a private round (€250 / 6 months + a one-time structuring fee) is the execution layer. It's a separate fundraising product that handles the actual mechanics of closing a round: the right vehicle to consolidate investors into a single line on your cap table, investor onboarding, KYC/AML, digital signing, fund flow, and 5 years of post-deal administration.

In short: CORE gets you ready to raise and helps you manage equity over time. A private round is what you activate when you're actually running a deal and need the legal and operational backbone to close it.

How are users defined in SeedBlink?

Users are anyone you add to your SeedBlink account as a stakeholder or collaborator: co-founders, investors, board members, employees, ESOP holders, advisors, and contractors. Everyone you invite gets free access to the Equity platform, with the right level of visibility for their role, whether that's viewing their own holdings, collaborating on the cap table, or accessing the data room. There are no per-seat fees: your account scales with your team and your shareholder base at no extra cost.

What happens after 5 years?

The one-time structuring fee covers the first 5 years of deal administration: investment vehicle management, investor reporting, corporate actions, and ongoing compliance. After that, you can renew for another 5-year period at 1% of the invested amount (minimum €2,000), so the deal continues to run smoothly until exit, no matter how long the journey takes.

What if my round is larger than €2M?

Deals above €2M get custom pricing from our sales team based on deal complexity and volume.

How does SeedBlink team support my onboarding?

From the beginning, you get white-glove support: kick-off calls, guided product setup, and a dedicated deal manager when you open a round. Our team can also complete the setup for you by securely managing all your documents and data.

From preparation to close. Your fundraising stack starts here.
