Lock-up Period




One invests in the Company because of its Founders, the “key people”. The dependency of the Company will reduce throughout the years, but the Founders need to commit to stay and contribute to the Company at least for the first x years after the investment, provided that the parties do not subsequently agree otherwise.

Therefore, during a period of x years from the Closing Date, the Founders shall not transfer or create any security interest over their shares, except for transfers to affiliates.
