The standard investment documents include some “warranties”. These are assurances that one gives with regard to certain legal and business aspects which will be further detailed in the transaction documentation.
The Company and the Founders shall jointly make customary representations and warranties inter alia with respect to authority and capacity; corporate status and share capital of the Company; title to shares in the Company; intellectual property rights of the Company; absence of insolvency proceedings; accuracy of accounts; assets and real property (if the case); conduct of business; he contracts concluded by the Company; absence of litigation; legal compliance; personnel of the Company; tax; affiliated transactions; information provided to the Investors being accurate and complete.
